Business Owner Agreement

Summary

NovaGo, operated by NovaPro Solutions LLC, is a software tool that helps local service businesses manage bookings, quotes, invoices, payments coordination, customer information, and business profiles. NovaGo is a software and technology provider only: it is not a party to any transaction between you and your customers, and it does not employ, supervise, control, or guarantee the businesses that use it, nor does it verify licenses, insurance, certifications, or the quality or legality of any service. As a business owner, you are solely and exclusively responsible for your services, your pricing, your payments and collections, your refunds and disputes, your staff, your compliance, your customers, and their safety. Misuse of the platform may result in immediate suspension or termination without prior notice. By using NovaGo you agree to the terms in this Business Owner Agreement, including its disclaimers, limitation of liability, and indemnification.

NovaGo is a software provider only

NovaGo, operated by NovaPro Solutions LLC, is a software and technology provider only. Our sole service is licensing access to the NovaGo platform, including its booking, quotes, invoicing, payments coordination, customer management, and business profile features. NovaGo is not a party to, and has no involvement in, any transaction, agreement, or relationship between you and your customers. We do not offer, sell, schedule, perform, supervise, or guarantee any service, and we do not verify or endorse any business, its credentials, or its work. Customers choose, hire, and pay you independently and at their own discretion. To the fullest extent permitted by law, NovaGo expressly disclaims all responsibility and liability for anything arising out of or related to the services you offer, sell, schedule, or perform.

You are an independent business

You operate as an independent business and use NovaGo purely as a software tool to run your operations. Nothing in this Agreement creates an employment, agency, partnership, joint venture, or franchise relationship between you and NovaGo. NovaGo does not employ, supervise, direct, or control you, your employees, or your contractors, and it does not set your prices, schedules, or service methods. You are free to run your business as you see fit, and you alone are accountable for the results.

Licenses, permits, certifications, insurance, and taxes

You are solely responsible for obtaining and maintaining everything the law requires for your business, and NovaGo does not verify, review, or guarantee any of it. This includes, at minimum:

  • All business licenses, permits, and registrations required in your state and your locality.
  • Any professional certifications, qualifications, or trade licenses your services require.
  • Adequate liability and other insurance coverage for your work.
  • All federal, state, and local taxes, filings, and payments related to your business and your workers.

NovaGo provides software only and does not confirm that you or your workers hold any license, certification, insurance, or clearance.

Responsibility for service fulfillment

You are fully and solely responsible for performing every service you offer through NovaGo, including the quality, safety, timeliness, scheduling, and outcome of that work. NovaGo does not perform, inspect, supervise, or guarantee any service, and it makes no promise to your customers about you or your results. You are responsible for the conduct, training, and supervision of your own employees and contractors, and for maintaining a safe workplace and safe conditions for your customers. Any harm, damage, injury to persons, damage to property, loss, or dissatisfaction arising from your services is your responsibility alone, not NovaGo's, and to the fullest extent permitted by law NovaGo disclaims all responsibility and liability for it.

Responsibility for customer communication

You are responsible for communicating clearly, honestly, and professionally with your customers before, during, and after each booking. This includes confirming appointments, explaining scope and pricing, disclosing any conditions or limitations, and responding to questions and complaints in a timely way. NovaGo may provide messaging, notification, or scheduling features as a convenience, but it is not a party to your conversations and is not responsible for what you or your customers communicate. Misunderstandings, missed messages, or disputes about what was promised are between you and your customer.

Refunds, cancellations, disputes, and chargebacks

You are solely responsible for setting your prices and for charging and collecting payment from your customers. You set and enforce your own policies for refunds, cancellations, rescheduling, and no-shows, and you are solely responsible for honoring them. You are responsible for resolving all customer disputes, complaints, and satisfaction issues directly with your customers. You are also solely responsible for any payment chargebacks, reversals, or refunds, including the underlying transaction amounts and any related fees. NovaGo is a software tool and is not a party to these matters, does not fund refunds or chargebacks on your behalf, and is not responsible for resolving them.

Platform fees and subscription fees

Your use of NovaGo may be subject to subscription fees and/or platform fees as described on our current pricing at the time you sign up or renew. Subscription fees are charged on a recurring basis for access to the software, and platform fees apply to completed paid bookings as described below. Fees are exclusive of any taxes that may apply. We may change our fees or plans on a going-forward basis, and we will give reasonable notice before changes take effect; continuing to use NovaGo after a change means you accept the updated fees.

Commission on completed bookings

NovaGo charges a platform fee (commission) on completed paid bookings arranged through the software. This fee applies to completed paid bookings regardless of the payment method used, including bookings you collect payment for outside of NovaGo. When a customer pays by card, the payment may be processed by a third-party payment processor (for example, Stripe), and processor fees may apply in addition to the platform fee. You are responsible for accurately recording bookings and their payment status so that fees can be calculated correctly.

External payments disclosure

You may choose to accept payment outside of NovaGo's card processing, such as cash, check, bank transfer, or another app. If you do, you must still record those bookings accurately in NovaGo, and the platform fee still applies to completed paid bookings regardless of how payment was collected. Collecting payment outside the platform does not exempt a completed paid booking from platform fees. NovaGo is not responsible for payments handled outside the software and provides no protection, guarantee, or dispute support for such payments.

No circumventing platform fees

You agree not to use NovaGo to obtain customers and then move those bookings or payments off the platform in order to avoid platform fees. Prohibited conduct includes steering customers you met through NovaGo to book or pay elsewhere to evade fees, under-reporting completed bookings, misreporting prices or payment status, or otherwise structuring transactions to hide fee-eligible activity. Fee circumvention is a serious violation of this Agreement and may result in charges for the avoided fees and immediate suspension, restriction, or removal from the platform without prior notice, at NovaGo's sole discretion.

No fake cancellations to avoid fees

You must not mark a booking as cancelled, refunded, or unpaid when the service was actually provided and paid for. Falsely recording the status of a booking to avoid the platform fee is a form of fraud and a breach of this Agreement. This applies whether the payment was collected through NovaGo or outside of it. We may reverse improper status changes, bill the correct fees, and immediately suspend or terminate accounts that engage in this behavior without prior notice, at NovaGo's sole discretion.

Audit rights for suspicious activity

If we reasonably believe an account is engaged in fraud, fee circumvention, fake cancellations, or other policy violations, we may review that account's booking, payment, and activity records to investigate. This may include comparing recorded bookings against payment data, customer reports, and platform usage patterns. You agree to cooperate reasonably with such reviews and to provide accurate information when asked. These audit rights exist to protect the integrity of the platform and honest businesses that use it, and NovaGo will limit any review to what is reasonably necessary for the investigation.

Suspension for fraud, abuse, illegal services, or non-compliance

Any misuse of the platform may result in immediate suspension, restriction, or termination of your account without prior notice, at NovaGo's sole discretion, if we reasonably believe you have violated this Agreement or created legal or compliance risk. Misuse includes, without limitation, offering illegal or restricted services, fraud, fee circumvention, fake bookings or fake cancellations, fake or manipulated reviews, booking manipulation, abusive or harmful conduct, scraping or unauthorized data collection, or any other violation of applicable laws or platform policies. Where practical, we may in our sole discretion give notice and an opportunity to correct the issue, but we are not required to do so, and urgent risks may require immediate action. Suspension or termination does not relieve you of fees already owed or of your responsibilities to your customers.

Prohibited industries and services

NovaGo is a general software tool for local service businesses and is not built or licensed for regulated or high-risk activities. You may not use NovaGo to offer, book, or process:

  • Medical, clinical, diagnostic, therapy, or prescription services, or handling of patient records.
  • Legal representation or case-file management, or financial, tax-preparation, or insurance services involving sensitive records.
  • Cannabis, controlled substances, or alcohol delivery.
  • Firearms, weapons, adult services, gambling, or any illegal activity.

NovaGo does not claim HIPAA compliance and is not intended for storing medical, legal, insurance, or financial records. If you are unsure whether your service is permitted, contact us at support@nova-go.app before using the platform.

Service listing rules

You are responsible for the accuracy of everything you publish on NovaGo, including your business profile, service descriptions, pricing, availability, and any qualifications you mention. Your listings must be truthful and not misleading, must not infringe anyone else's rights, and must not advertise prohibited or illegal services. You may not impersonate another business or misrepresent your credentials, affiliations, or endorsements. We may remove or require changes to listings that violate these rules or applicable law.

Customer data usage rules

You will receive customer information through NovaGo so you can provide your services, such as names, contact details, and booking history. You may use this information only to fulfill and support the bookings customers make with you, and you must handle it in compliance with applicable privacy laws. You may not sell customer data, use it for unrelated marketing without a lawful basis and any required consent, or share it in ways customers would not reasonably expect. You are responsible for keeping customer information secure and for honoring reasonable customer requests regarding their data. For privacy questions, you may reach us at support@nova-go.app.

Reviews and reputation rules

If NovaGo offers reviews or ratings, they are meant to reflect genuine customer experiences. You may not post fake reviews, pay for or incentivize dishonest reviews, review your own business, or manipulate ratings through coordinated or deceptive activity. You also may not threaten, retaliate against, or harass customers over their honest feedback. We may remove reviews or take action on accounts that abuse the review system, and we do not guarantee the accuracy, availability, or content of any review.

Indemnification

You agree to indemnify, defend, and hold harmless NovaGo, NovaPro Solutions LLC, and their owners, officers, employees, contractors, affiliates, and partners from and against any claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your services, listings, or conduct. This includes claims relating to your compliance failures, customer disputes, injuries, property damage, refunds, cancellations, payment collection, chargebacks, taxes, insurance, licensing, worker or employment issues, workplace or customer safety, data handling, or any violation of law or of this Agreement. This obligation applies to the fullest extent permitted by law and survives the termination of your account. NovaGo's role is limited to providing software, and responsibility for your business rests with you.

Limitation of liability

NovaGo provides the software "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, and does not guarantee any bookings, revenue, results, or the conduct of any customer or business. NovaGo's only service is providing access to the software platform, and to the fullest extent permitted by law, NovaGo disclaims all responsibility and liability for anything arising out of or related to the services you offer, sell, schedule, or perform. To the fullest extent permitted by law, NovaGo, NovaPro Solutions LLC, and their owners, officers, employees, contractors, affiliates, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost bookings, or lost data, arising from your use of the platform. To the fullest extent permitted by law, NovaGo's total liability for any claim relating to the software will not exceed the total fees you paid to NovaGo in the three (3) months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you. For questions about these terms, contact support@nova-go.app.
